Launch Corporation seeks to provide a select group of Investors with the opportunity to participate as a 'passive investor' in property sites with redevelopment potential.
We are in a position to structure a variety of investment programs, however traditionally we use an independent financial entity or Special Purpose Vehicle (SPV) in the form of a Unit Trust.
Each development is independent, there is no financial association between project entities, other than they have been acquired by and are managed by Launch Corporation.
Typically, Launch Corporation will identify a site suitable for redevelopment. Once the site has been sourced it will be put under a conditional contract in order to allow us to undertake a thorough and exhaustive due diligence in determining the viability of the proposed project.
Once Launch Corporation satisfies its Board that the site is suitable for redevelopment and can demonstrate financial returns that are in line with Board objectives; an Information Memorandum is prepared by Launch Corporation outlining the project inclusive of feasibilities, proposed risks & returns, marketability, corporate structure together with finance and capital requirements.
This document is not distributed publicly but to a select group of sophisticated investors with whom Launch Corporation and its Board have had long-standing and successful relationships with on past and current projects.
Any offers made to invest in a SPV Unit Trust with Launch Corporation will be an offer in a Managed Investment Scheme (MIS) within the definition of Section 9 of the Corporation Act 2001, however notwithstanding the exemptions available by the virtue of sections 1012E (including regulation 7.9.16A) and 601ED(2) that the MIS will not be required to be registered with ASIC.
The Directors of Launch Corporation will always have an equity interest in each project alongside their Investor clients and will provide corporate guarantees in supporting senior and any secondary debt for the development without recourse to our Investors.
The Directors interest in each project is flexible depending upon the amount of equity required or available for the project.
At the conclusion of each redevelopment, the SPV structure will be wound up once all Investors capital and any interest has been returned pursuant to the rules of the Unit Trust and thereafter all profits from the development have been distributed proportionately to the Investors Unit Holdings.

- Tax effective structures;
- Capital invested is secured against the development site;
- Obtain the best of both worlds where an investor will receive an interest return for their funds as well as profit participation from the Investor unit holdings.
- Launch Corporations' Directors provide all the corporate guarantees for the development loans without any recourse to the Investors.
- Detailed project and financial reporting as a stakeholder who is part of the development.
- Investors will be able to participate in the high returns of property development by entering at cost and partnering with Launch Corporation as a passive investor.
